Simplifying Compliance: The New LLP Amnesty Scheme Introduced by MCA
To encourage a more business-friendly environment and alleviate compliance burdens, the Ministry of Corporate Affairs (MCA) has recently unveiled a game-changing relief measure – the LLP Amnesty Scheme. With its General Circular No. 08/2023 dated 23rd August 2023, this scheme aims to address the challenges that Limited Liability Partnerships (LLPs) encounter in meeting timely filing requirements, specifically for form-3, form-4, and form-11. Features of the LLP Amnesty Scheme:
- STP Processing for Form-3 & Form-4: The scheme brings in the concept of Straight Through Processing (STP) for Form-3 and Form-4 submissions, except for instances involving changes in business activities. This streamlined approach expedites the filing process and ensures quicker approvals.
- Sequential Filing Requirement: The scheme mandates sequential filing of forms by their respective event dates. This sequential order promotes a structured and organized approach to filing, reducing the chances of errors.
- Editable Pre-Filled Data: To further simplify the process, the forms will be pre-filled with data based on existing master records. However, it is the responsibility of stakeholders to verify the accuracy of this data before submission.
- Fee Exemptions for Certain Forms: Under the LLP Amnesty Scheme, for events occurring after 01.01.2021, filing form-3 and form-4 will be exempt from additional fees. For events preceding this date, small LLPs can file with 2 times the normal fees, and other than small LLPs with 4 times the normal fees.
- Form-11 Fee Exemption: Similar to Form-3 and Form-4, Form-11 can be filed without incurring additional fees for Financial Year 2021-22 and onwards. For preceding years, additional fees will apply, scaled at 2 times for small LLPs and 4 times for other than small LLPs.
Scheme Timeline and Safe Harbor:
The LLP Amnesty Scheme is set to take effect from September 2023 and will remain operational until November 30, 2023. During this window, LLPs can avail the benefits of the scheme and rectify any delays in filing form-3, form-4, and form-11 without facing any punitive actions or penalties.
